Acceptance of Terms

By accessing or utilizing the TabSlate browser extension, companion web applications, and cloud-based synchronisation backend (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not accept these terms in full, you must immediately uninstall the extension and cease using our services.

We reserve the right to revise these Terms to reflect technical updates, security enhancements, or legal compliance. We will announce significant modifications via email or in-app notifications. Your continued use of the Service following such updates signifies your acceptance of the revised Terms.

Description of Service

TabSlate provides tools to capture, organize, and sync browser tabs and bookmarks across multiple devices. The Service consists of:

  • Free Components: The Chrome extension frontend (AGPL-3.0) and the Go backend server (AGPL-3.0, open-source, permitting self-hosting).
  • Cloud Version (TabSlate Cloud): A premium hosted platform utilizing the Flexprice billing API for subscription management and cloud-based real-time synchronization (licensed separately).

We strive to ensure the Service remains highly available. However, we reserve the right to pause or alter features for maintenance, upgrades, or technical emergencies without prior notice or liability.

User Accounts

To use cloud synchronization, you must register a verified user account. You agree to: (a) provide an accurate email address, (b) secure your authentication credentials, and (c) immediately notify us of any unauthorized account access.

Billing is governed by your selected Plan (Free, Pro, or Premium) powered by our Flexprice billing integration. Subscriptions automatically renew at the end of each billing period unless cancelled. You are responsible for all applicable fees. Free plans may contain usage limits (e.g. maximum bookmarks, tags, collections, or workspaces) as configured in our capacity store. Exceeding plan quotas will temporarily prevent further cloud uploads until your account is upgraded or usage is reduced.

Prohibited Uses

You agree not to engage in any of the following prohibited behaviors:

  • Circumventing, disabling, or tampering with licensing checks, subscription caps, rate limiters, or Prosopo captcha mechanisms.
  • Reverse-engineering or decompiling compiled binary assets of the private TabSlate Cloud server code.
  • Using the Service to store or transmit malicious files, spam, or unlawful metadata.
  • Implementing automated bots or scrapers to extract data or flood the sync endpoints (/sync/push, /sync/pull) in a manner that degrades performance for other users.
  • Impersonating other users or attempting to hijack active JWT sessions.
  • Using the open-source TabSlate-server backend to provide a paid commercial synchronization service to third parties without a separate commercial license from TabSlate.

Intellectual Property

All code, designs, branding, logos, and user interfaces of the TabSlate Cloud Service are protected by copyright, trade secret, and other intellectual property laws. All original assets remain the exclusive property of TabSlate.

Your Content: You retain absolute ownership of all tab metadata, titles, URLs, collection configurations, and bookmarks that you import or sync. By using the Service, you grant us a strictly limited, worldwide, royalty-free license to store, parse, and transmit this metadata solely to perform the sync operations requested by your authenticated devices.

Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TABSLATE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT SYNCHRONIZED METADATA WILL BE 100% ERROR-FREE, THAT THE SERVICE WILL NEVER EXPERIENCE TEMPORARY DOWNTIME, OR THAT ACCUMULATED DATA WILL NEVER BE LOST IN THE EVENT OF CATASTROPHIC HARDWARE OR NETWORK FAILURE. WE HIGHLY RECOMMEND USERS MAINTAIN SEPARATE BACKUPS OF EXTREMELY CRITICAL BROWSER BOOKMARKS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TABSLATE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, SYSTEM DOWNTIME, OR LOSS OF BUSINESS REVENUE ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS UNDER THESE TERMS OR RELATING TO THE SERVICE SHALL NEVER EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO TABSLATE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $10.00, WHICHEVER IS GREATER.

Termination

We reserve the right to temporarily suspend or permanently terminate your account and block access to the Service at our sole discretion, without prior notice, if we determine you have violated these Terms, engaged in fraudulent billing, or repeatedly abused server resources.

You may close your account at any time via Settings → Account → Delete Account in the extension. Upon submitting a deletion request, a 30-day grace period begins during which all your data remains intact. Logging in at any point during this window cancels the request. After 30 days without a login, all associated bookmarks, workspaces, tab groups, and account information stored on our synchronization servers will be permanently and irreversibly purged.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflicts of law principles. Any dispute arising under these Terms shall be resolved first through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the competent courts in your jurisdiction or binding arbitration.

If any provision of these Terms is deemed unlawful or unenforceable, that specific clause shall be severed, and the remaining provisions shall continue in full force and effect.
